Innergiving, Public Fund Corporation
AGREEMENT BETWEEN INNERGIVING AND INVITED ORGANIZATIONS
This Agreement ("Agreement") is entered into as of [Effective Date] by and between Innergiving, Public Benefit Corporation, a trust-based collaborative platform ("Innergiving"), and [Nonprofit Name] ("Nonprofit"), collectively referred to as the "Parties."
1. PURPOSE
The purpose of this Agreement is to establish a partnership between Innergiving and Nonprofit to enhance donor engagement, increase nonprofit visibility, and provide meaningful mental health and social impact content through the Innergiving platform. By raising awareness of its vital importance, serving as a trusted resource hub for education, inspiration, stories, impact and mobilizing collective philanthropy, Innergiving empowers individuals and organizations to take meaningful action.
2. RESPONSIBILITIES OF NONPROFIT
a. Content Participation
Nonprofit agrees to contribute educational and resource-based content to the Innergiving Feed at least once per week. This content should be:
Relevant to the nonprofit’s mission and expertise.
Educational rather than promotional in nature.
Designed to provide value to donors and the broader community.
Focused on education, inspiration, storytelling, impact, research, or volunteer outreach.
b. Administration Fee
To support platform sustainability, donor engagement, and operational costs, Nonprofit agrees to pay an administration fee of 7-9% of total funds received through Innergiving. Fees will be invoiced to the organization once funds are granted on a quarterly basis. Administration fees are only applied to those nonprofits included in the Innergiving Pooled Fund. This fee covers:
Fund distribution and processing.
Marketing and awareness efforts to increase donor engagement. The platform will be exposed to large and small donors (i.e. individuals, family offices, corporations, foundations, professional athletes, high net worth advisors).
Platform maintenance and continuous improvements to benefit Nonprofit, donors, and the entire ecosystem.
3. RESPONSIBILITIES OF INNERGIVING
Innergiving agrees to:
Maintain a user-friendly platform that facilitates donor engagement and nonprofit visibility.
Promote participating nonprofits through marketing and outreach efforts.
Provide analytics and insights to help nonprofits optimize their donor engagement.
Ensure timely and transparent distribution of funds to Nonprofit.
Monitor and maintain a positive content feed called Heartstream.
Quarterly impact reporting.
Promise trust, transparency, awareness, connection, and growth.
Build a collaborative ecosystem that benefits all stakeholders.
4. TERM AND TERMINATION
This Agreement shall commence on the Effective Date and continue unless terminated by either Party with 30 days’ written notice. Innergiving reserves the right to terminate this Agreement if Nonprofit fails to meet the agreed-upon criteria, content contribution, or fee requirements.
5. CONFIDENTIALITY
Both Parties agree to keep confidential any proprietary or sensitive information shared during the partnership, except where required by law.
6. GENERAL TERMS
Independent Entities: This Agreement does not create a partnership, joint venture, or employment relationship between the Parties.
Modifications: Any amendments to this Agreement must be made in writing and agreed upon by both Parties.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Arizona, USA.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
